1. Acceptance of Terms
By accessing or using the OmniGross Enterprises website, services, or any related platforms, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please discontinue use of our services.
2. Our Services
OmniGross provides digital marketing, AI-driven lead generation, web design & development, and social media marketing services to B2B brands. The scope, deliverables, and timelines for any engagement are defined separately in a signed proposal or service agreement.
3. Client Responsibilities
Clients agree to provide accurate information, timely feedback, and necessary access (accounts, assets, credentials) required to deliver the agreed services. Delays caused by incomplete information or approvals may affect project timelines.
4. Payments & Billing
Service fees, payment schedules, and billing cycles are outlined in the individual service agreement or invoice. Monthly retainers are billed in advance. Late payments may result in pause of services until dues are cleared.
5. Intellectual Property
Unless otherwise agreed in writing, final deliverables (websites, creative assets, campaigns) become the property of the client upon full payment. OmniGross retains the right to showcase completed work in its portfolio, case studies, and marketing materials unless the client requests confidentiality.
6. Performance & Results
While OmniGross applies data-driven strategies and industry best practices, we do not guarantee specific results, rankings, or revenue outcomes, as these depend on multiple external factors including market conditions, competition, and platform algorithm changes.
7. Confidentiality
Both parties agree to keep shared business information, strategies, and data confidential, and not to disclose it to third parties without prior written consent, except as required by law.
8. Termination
Either party may terminate an ongoing engagement with prior written notice as specified in the service agreement. Fees for work completed up to the termination date remain payable.
9. Limitation of Liability
OmniGross shall not be held liable for indirect, incidental, or consequential damages arising from the use of our services, including but not limited to loss of revenue, data, or business opportunities.
10. Changes to These Terms
We may update these Terms of Service from time to time. Continued use of our services after changes are posted constitutes acceptance of the revised terms.
11. Governing Law
These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra.
